Background

TCorp's Corporate Finance unit is a dedicated team that advises NSW Treasury and other public sector agencies on asset procurement financing and structured finance transactions.  Corporate Finance's focus is on seeking to ensure value for money, maximising the financial results achievable within acceptable risk parameters.

Under the provisions of Treasury Circular 98/07 NSW Treasury utilises the services of TCorp to review, consider and, if required, recommend and implement complex financing transactions, including leases and structured asset acquisitions.  In addition, NSW Treasury/government agencies utilises TCorp's services in considering and evaluating financial elements of public private partnership (PPP) and other infrastructure projects. 

The unit has experience advising on a wide range of asset types encompassing office, medical and transport equipment, and social and economic infrastructure. 

Types of Transactions and Services

TCorp's work includes:

• maintaining contact with private sector participants and intermediaries 
• providing advice covering existing structured finance transactions
• general commercial advice and assistance, such as the review or preparation of financial or commercial reports and   submissions
• financial modelling
• database creation and extraction of asset and financing information 
• assessing potential financing structures for asset acquisitions or new projects, including lease options
• participating in and advising on the financial assessment of private sector tender bids, and on identifying and   managing associated financial and other risks
• being involved in the financial close of transactions, including independent attestation of market rates
• monitoring of potential cross border lease transactions, and implementation where required
• ongoing management of financing transactions

Much of the work involves assessment of funding options from different private sector providers and a comparison of external financing options with a public sector funding alternative. In performing this work, the Corporate Finance unit is able to draw on the financial markets expertise of TCorp's Treasury unit.

Simon Wilson
Senior Manager Corporate Finance

Simon Wilson joined TCorp in March 1997.  Simon has more than twenty years experience in dealing with a variety of structured financing transactions, gained from working for investment banks in their corporate banking and structured finance areas, and as finance manager for a large international corporate group.  During his time with TCorp Simon has worked on a range of financings and advisory assignments, including major infrastructure projects, cross border leasing and motor vehicle leasing.

Kevin Pugh
Senior Manager Corporate Finance

Kevin Pugh joined TCorp in March 2000.  Kevin has extensive previous experience in both private sector banking and government. Prior to joining TCorp, Kevin worked for State Transit Authority, where he was responsible for the strategic financial planning and reporting functions.  These responsibilities included development of financial planning, review of major capital investments and developing and implementing asset financing strategies.  Prior to State Transit Kevin worked in the banking sector, specialising in leasing, property and structured finance transactions.  Since joining TCorp Kevin has been closely involved with the evaluation and implementation of proposals for PPP and other major infrastructure projects and cross border leasing.

Rowan Element
Senior Analyst Corporate Finance

Rowan Element joined TCorp in February 2003.  Previous work experience included a role as an analyst within property finance.  Rowan is moving from providing transactional and analytical support (including financial modelling) for senior colleagues to the management of a range of projects for clients.  Since joining TCorp Rowan has been involved in various aspects of client advice, cross border leases and structured finance transactions.

Jasmine Heckenberg
Analyst Corporate Finance

Jasmine Heckenberg joined TCorp in January 2005.  Previous work experience includes roles within property finance and property development.  Jasmine coordinates the transaction management of existing cross border lease and motor vehicle lease facilities, and supports her senior colleagues in the provision of corporate finance services to clients, particularly in respect of financial modelling, and database creation and extraction of asset and financing information.
